We generally recommend the use of the SECs Regulation D 506 Private Placement. It may be used for any dollar amount and recently the JOBS Act (JOBS stands for JumpStart Our Businesses) went into effect with a dramatic impact on the marketing of private placements. There are a couple of conditions but they are easily met. This is HUGE! Now, literally, you may place newspaper ads, conduct sales seminars, email blast.....and more! The fees for us to prepare your Private Placement and coordinate the funding efforts is quoted deal by deal. Expect to be quoted anywhere from $10,000 to $20,000. Compared to what FINRA Broker/Dealers charge this is a bargain!
Just a little further on this issue of costs... The cost to a company to do an Initial Public Offering....the logical step after a Regulation D Private Placement is typically 15% to 25% ** of the funds raised! That's huge! To reduce this to simple math, an IPO of $1 Million may cost from $150,000 to $250,000! This makes our fees seem inconsequential by comparison!

Why couldn't I just show investors my business plan? Why do a Private Placement?
Savvy private investors know that they are dealing with a sophisticated individual when you have prepared and filed a Private Placement. This document sets out the terms under which you are prepared to do business. This takes away the tendency of some investors to change the rules, so to speak. Additionally, the presence of a private placement puts all parties on notice that the transaction is coming under the legal guidelines of the state as well as the federal securities law provisions.
Most principals and investors prefer the comfort of knowing there is some oversight to private investor transactions.
You will need a business plan, which serves an important place in the Private Placement. Our fees to create one for the client are quoted on a deal-by-deal basis. Ask us about your specific needs.
What do I need to provide in the way of documents for this program?
We will provide a list of the normal items generally required. You may use an LLC or "C" corp as the entity type for raising funds using a Reg D program. If you haven't formed a company yet, many have found that filing in Nevada has its advantages. If you would like for us to do this for you we charge $495.00 which includes the initial basic filing and a resident agent fee for one year. You may, of course, do this yourself if you wish.

The client is also informed

investment in the client’s company by the investor. We do not actually sell the
investment…we put the interested parties together.
This process accommodates
the regulatory agencies’ non-solicitation requirements.
The cost to reach all
10,000 potential investors is $2.00 per call where the investor is actually reached
plus a success fee (quoted deal by deal) once funding is successfully
achieved. The initial retainer required
is a modest $3000 which covers calling 1000 potential
investors. Once this initial group is
contacted we re-evaluate our progress and make recommendations regarding our
continued efforts in the client’s behalf.
Often these calls are enough to obtain financing; in many cases more
calls are required.
